The terms that govern your access to and use of Stem Health's website, portal, products, and services.

The following terms of service, together with any documents or additional terms that they expressly incorporate by reference (collectively, the "Terms of Service"), govern your access to and use of: (a) our website available at www.stemhealth.ca and client portal referred to as the Stem Health Portal (the "Site"); (b) any content contained on or provided through the Site (the "Content"); and (c) your purchase of products or services through the Site, including the Annual Health Assessment, Foundation Membership, Signature Membership, Core Annual Health Assessment, Horizon Annual Health Assessment, individually purchased labs and diagnostics, and Packages and Assessment-to-Care Add-ons (collectively, the "Products and Services").
These Terms of Service form an agreement between Stem Health Inc. ("Stem Health", "us", "we", "our") and you. By clicking to accept these Terms of Service or by using the Site in any way, including by making a purchase, you represent that you have reached the legal age of majority in your jurisdiction, have the capacity to enter into binding obligations, and that all information you supply is true, accurate, current and complete; and you agree to be bound by and comply with these Terms of Service. If you do not agree, you must not access or use the Site.
Except where prohibited by applicable law, we reserve the right, in our sole discretion, to change any element of these Terms of Service at any time. When we do, we will place a notice on the Site, send you an email or notify you by another means as required by law, post a new version, and update the "Last Updated" date. Your continued access to or use of the Site after any changes indicates your acceptance of those changes. We reserve the right to change the Site at any time, without notice, and may suspend access for scheduled maintenance, for violations of these Terms of Service, or to address emergency security concerns.
To access certain features of the Site, you may be required to sign up for a user account and establish login credentials (the "User Account"). You will keep your User Account secure and will not share it, unless expressly permitted. You must provide true, accurate, current and complete information. You must promptly notify us of any unauthorized activity or security breach involving your User Account. Stem Health reserves the right to disable any User Account at any time in our sole discretion. You are solely responsible for all use of and activity that occurs under your User Account.
You grant to us and our affiliates and service providers a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to access, collect, store and use any data you enter into or that we collect from the Site (the "User Data") to develop and provide the Site and the Products and Services, and to produce Aggregated Data that is not identified as relating to a particular individual, provided this licence does not apply to any Personal Information contained in the User Data. Please review our Privacy Policy, which is incorporated into and forms part of these Terms of Service.
Stem Health makes Products and Services available for purchase through the Site at the price set out on the Site. Our provision and your receipt of the Products and Services will be subject to the terms of your Membership Agreement, which will govern in the event of any conflict. If you have not entered into a Membership Agreement, you should not purchase the Products and Services through the Site. All descriptions and pricing are subject to change at any time. We reserve the right to limit sales and to discontinue any Products and Services at any time.
You should not book, purchase or use the Products and Services if you are experiencing a medical emergency or require immediate medical attention. In such circumstances, call 911 or visit your closest emergency room.
When you place an order, it is an offer to purchase the Products and Services, which we may accept by providing an order acceptance that expressly states our acceptance. An order confirmation that does not expressly state acceptance does not signify acceptance. We may require additional verification and, for any reason, may decline to accept your order. All sales of any Products and Services are non-refundable, except as set out in Section 7.
To pay for an order, you will provide Stem Health or a third-party payment processor with the information necessary to process a payment. By submitting your payment information, you authorize us or the payment processor to charge the applicable payment method. You represent that you have all necessary authorization to use your chosen payment method. You must keep your payment details current, and promptly notify us if your payment method is cancelled or you become aware of a potential breach of security.
Appointments are reserved specifically for you with your care team. Members are expected to provide advance notice when cancelling or rescheduling any Stem Health appointment. The required notice period and applicable fees vary by service type, as outlined below. All fees are in Canadian dollars and are subject to applicable taxes. This policy applies to all appointment types, including in-clinic assessments, at-home and mobile blood draws, Advanced Health Assessments (AHAs), diagnostic imaging, and telemedicine consultations.
Whole Body MRI testing is included in the Horizon AHA, while Biomarkers testing is included in both Core and Horizon AHAs. Biomarkers and Whole Body MRI testing is done within a month prior to a scheduled AHA.
If genetic testing materials, specimen collection kits, or laboratory panels have already been ordered or processed, those costs are non-refundable. If you complete the pre-test genetic counselling session and decide not to proceed with testing, the counselling portion is non-refundable; the laboratory testing portion is refunded in full provided no test kit has been ordered or specimen submitted.
A no-show occurs when a Member fails to attend a scheduled appointment without prior notice; the full fee will be charged and is non-refundable. Two or more no-shows within a 12-month period may require pre-payment for future appointments. A late arrival (20 minutes or more after the scheduled time) incurs a $75 fee. Cancellation processing fees are non-refundable; amounts prepaid within the free cancellation window are refunded in full within 10 business days. Members are responsible for following all pre-appointment instructions (fasting, medication adjustments, valid photo ID); if you arrive unprepared and the appointment cannot proceed, it is treated as a late cancellation. If Stem Health reschedules due to provider availability, equipment maintenance, or unforeseen circumstances, no fee applies. To cancel or reschedule, contact your Care Advocate by phone or email during business hours (Monday–Friday, 8:00 AM–5:00 PM ET) or email care@stemhealth.ca; requests are confirmed based on when they are received. Fee waivers for documented medical emergencies, hospitalization, or bereavement are reviewed case by case.
To the extent Stem Health runs any promotional offers on the Site, the terms of any such promotion will be posted on the Site. Promotional offers may not be available in your jurisdiction.
Stem Health may from time to time issue updated or upgraded versions of the Site and may automatically update the version you are using. You consent to receive updates or upgrades automatically. You can withdraw consent at any time under certain conditions by contacting us at info@stemhealth.ca.
Neither these Terms of Service nor your use of the Site grants you ownership in the Site or any right to use any Content, including Stem Health's trademarks, logos and brand elements. All right, title and interest in and to the Site remain the sole property of Stem Health. Subject to these Terms of Service, Stem Health grants you a non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Site to receive Products and Services. You are prohibited from modifying, copying, reproducing, publishing, transmitting, distributing, creating derivative works from, decompiling, transferring or selling the Site or any portion of it. The name "Stem Health" is the trademark and trade name of Stem Health Inc.
You will not use the Site in violation of these Terms of Service or of any applicable law. Without limiting the foregoing, you will not: disable or interfere with servers or networks connected to the Site; attempt to gain unauthorized access; transmit viruses, malicious code, or unlawful, false, misleading, defamatory, harassing, or infringing content; use data mining, robots, or scraping, or reverse engineer the Site; use the Site to build a competitive offering; impersonate Stem Health or others; interfere with the proper working of the Site; or authorize any third party to do any of the above.
We do not guarantee the confidentiality of any communications made through the Site, other than as expressly set out in your Membership Agreement, and we do not guarantee the security of data transmitted over the internet. You agree to protect and keep confidential any confidential information of Stem Health you may come into contact with, and to disclose it only as necessary to comply with these Terms of Service or applicable law.
Any suggestion, feedback or idea you provide ("Feedback") will not be treated as confidential, and you grant us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive and sublicensable licence to use, distribute, reproduce, modify and otherwise exploit the Feedback in any form or media, and to allow others to do the same, without compensation to you.
The Site may provide links or access to third-party content, websites, or services. Stem Health does not endorse or guarantee any third-party content and is not responsible for it. If you choose to access any such content, you do so entirely at your own risk and may be required to accept the applicable third-party terms of service.
The downloading and viewing of Content are done at your own risk. We do not guarantee that the Site is compatible with your device or free of viruses or other harmful code. You are responsible for implementing safeguards to protect your computer system and/or mobile device.
The Site and all Products and Services purchased through the Site are provided "as is" and "as available".
These Terms of Service commence on the day you first use the Site and continue for as long as you use the Site or until terminated (the "Term"). Stem Health may suspend or terminate your rights to access or use the Site, or terminate these Terms of Service, at any time. You may terminate these Terms of Service at any time by ceasing use of the Site and deleting any User Account.
Stem Health makes no representation that the Site is available for use in all locations. We provide the Site for use only by persons located in Ontario. If you access the Site from outside Ontario, you do so at your own risk and are responsible for compliance with your local laws.
Except as restricted by applicable law, these Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and you consent to the exclusive jurisdiction and venue of courts in Ontario. These Terms of Service constitute the entire agreement between you and Stem Health regarding the subject matter and supersede all prior communications and proposals. If any provision is determined to be unenforceable, it will be severed and the remaining provisions will remain in full force and effect. You will not assign these Terms of Service without our prior written consent; Stem Health may assign them without your consent.
